Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, platform, and software provided by Deconstraint LLC ("Deconstraint," "we," "us," or "our"), a Wyoming limited liability company. By accessing or using our services, you agree to be bound by these Terms.
1. Services
Deconstraint provides AI agent deployment, platform infrastructure, and consulting services for small and medium-sized businesses. This includes access to our platform built on OpenClaw, MCP integrations, agent clusters, and related software and support.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to active customers.
2. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.
You must be at least 18 years old and authorized to enter into binding contracts on behalf of your organization to use our services.
3. Payment and Billing
Services are billed on a monthly basis. Payment is due at the start of each billing period. We accept ACH bank transfer and major credit cards. All fees are non-refundable except as required by law or as explicitly stated in your service agreement.
We may update pricing with 30 days written notice. Continued use of services after a price change constitutes acceptance of the new pricing.
4. Acceptable Use
You agree not to use our services to:
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of others
- Transmit harmful, fraudulent, or misleading content
- Attempt to gain unauthorized access to our systems or third-party systems
- Use our platform to generate spam or conduct unauthorized outreach
- Resell or sublicense our services without written authorization
We reserve the right to suspend or terminate access for violations of this section without refund.
5. Intellectual Property
All platform code, software, designs, and documentation created by Deconstraint remain our intellectual property. Your data, content, and configurations remain yours.
You grant Deconstraint a limited license to process your data solely to provide the services you have contracted for.
6. Third-Party Services
Our platform integrates with third-party services including but not limited to Google Workspace, OpenClaw, and various MCP-connected tools. Your use of those services is governed by their respective terms. We are not responsible for the availability, accuracy, or conduct of third-party services.
7. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, or that AI-generated outputs will be accurate or suitable for any particular purpose.
You are responsible for reviewing and validating any AI-generated content or decisions before acting on them.
8. Limitation of Liability
To the maximum extent permitted by law, Deconstraint's total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid us in the three months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of our business relationship. This obligation survives termination of your account or service agreement.
10. Termination
Either party may terminate services with 30 days written notice. We may terminate immediately for material breach of these Terms. Upon termination, your access to the platform will cease and we will provide a reasonable transition period to export your data.
11. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming or through binding arbitration as mutually agreed.
12. Changes to These Terms
We may update these Terms from time to time. We will notify active customers of material changes via email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
